1. The agreement
Guidly is developed by the Bulgarit team while Guidly's Bulgarian trading company is being registered. Contact is via contact@bulgarit.com. When Guidly's company is entered in the Bulgarian Commercial Register, we will publish its legal name, UIC, and registered office (for example on the About page).
After incorporation, the contracting entity named there will stand behind these Services; updates will not excuse breaches that occurred before the change.
If you use Guidly on behalf of a company, you represent that you have authority to bind that organization. Some features may also be governed by an order form, subscription plan, or separate agreement; if there is a conflict, the more specific terms control for that subject matter.
2. Accounts
You are responsible for credentials, accurate account information, and activity under your account. Notify us promptly at contact@bulgarit.com if you suspect unauthorized access.
3. Acceptable use
You agree not to misuse the Services. For example, you must not:
- Violate law or third-party rights
- Attempt to gain unauthorized access to systems, data, or accounts
- Overload, disrupt, or probe our infrastructure in ways that harm availability
- Use the Services to distribute malware, spam, or deceptive content
- Reverse engineer except where applicable law permits despite this limitation
4. Customer content
You retain rights to content you submit. You grant Guidly a limited license to host, process, and display that content solely to provide and improve the Services. You are responsible for the legality of your content and for providing any required notices to your end users.
5. Third-party services
The Services may integrate with third parties (for example authentication or hosting). Those services have their own terms; Guidly is not responsible for third-party products you choose to use.
6. Availability and changes
We strive for reliability but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue parts of the Services with reasonable notice where practicable.
7. Fees
We may show indicative pricing on the website; it is not a binding offer until we launch paid checkout or sign a separate order form. Until then, there is no in-product payment provider—commercial terms (including first-month promotions) are agreed directly over email. When paid plans go live, fees will be charged as described at checkout or in your order unless otherwise agreed in writing. Unless stated otherwise, fees are non-refundable except where required by law. Taxes may apply.
8. Intellectual property
Guidly and its licensors own the Services, including software, branding, and documentation. Except for the rights expressly granted to you, no rights are transferred.
9. Disclaimer
To the maximum extent permitted by law, the Services are provided "as is" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, Guidly and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability for claims arising out of the Services is limited to the amounts you paid Guidly for the Services in the twelve (12) months before the event giving rise to the claim (or, if none, fifty euros (€50)).
11. Indemnity
You will defend and indemnify Guidly against claims arising from your content, your use of the Services in breach of these terms, or your violation of law or third-party rights.
12. Termination
You may stop using the Services at any time. We may suspend or terminate access for material breach or risk to security or others. Provisions that by their nature should survive will survive termination.
13. Governing law and disputes
These terms are governed by the laws of the Republic of Bulgaria, excluding conflict-of-law rules. Courts in Sofia, Bulgaria have exclusive jurisdiction for disputes arising from these terms or the Services, except where applicable law requires otherwise (including mandatory consumer protections).
